Business and Community Law Clinic

For students

The Business and Community Law Clinic is Wayne Law's transactional clinic. The clinic prepares students for real-world practice, combining weekly seminars with representation of real-world for-profit and nonprofit clients who cannot afford to pay for legal services offered by attorneys in the private bar. In the course of representations, students will act as counselors in the truest sense of the word, advising on both business and legal matters. In addition to direct client representation, clinic students also engage in research and other activities that support entrepreneurism in Detroit.

The legal services provided vary from semester to semester based on client needs. Among the services the clinic offers are:

  • Contract review and preparation
  • Entity formation
  • Preparation of tax-exempt applications for 501(c)(3) status
  • Preparation of trademark and copyright applications
  • Review and drafting of commercial real estate documents

Since the clinic began serving clients in 2007, it has provided legal assistance to dozens of for-profit clients, including record labels, a day spa, technology companies, a bath and body care manufacturer and a financial literacy company. It also has provided legal assistance to myriad start-up nonprofit clients, including an organization formed to mentor at-risk students, an organization that provides free clothes and other material necessities to low-income people, an organization formed to provide services to children of domestic abuse survivors and a public interest environmental law firm.

For potential clients

Wayne State University Law School's Business and Community Law Clinic provides free legal services to small businesses, start-ups and nonprofit organizations. Services are provided by second- and third-year law students under the direct supervision of licensed attorneys. The clinic can assist you with virtually any transactional matter, including:

  • Business entity selection and formation contract review and preparation
  • Preparation of tax-exempt applications for 501(c)(3) status
  • Preparation of trademark and copyright applications
  • Review and drafting of commercial real estate documents

The clinic represents clients only on business transactions and doesn't work on litigation matters. Also, while all legal services are free, clients are responsible for paying any filing fees.

Eligibility:

  • Your business is/will be located in metropolitan Detroit.
  • You cannot afford legal services from a private lawyer.
  • You have a business plan.
